Terms of Service

1. Who we are and what these Terms cover
These Terms of Service ("Terms") govern your use of the website at https://qointa.com and its subdomains (the "Website"), including user accounts, the resource library and its free downloads, the self-assessments and the client portal.
In these Terms, "qointa", "we", "us" and "our" mean qointa BV, a company under Belgian law with its registered office at Groenstraat 59, 2870 Puurs-Sint-Amands, Belgium, company and VAT number BE0872616156. "You" means the person using the Website and, where you use it on behalf of an organisation, that organisation.
By using the Website you accept these Terms. If you do not accept them, please do not use the Website.
Paid services, assessments, portal access and purchases are governed by our Sales Conditions and by any written quote or engagement agreement. If these Terms and the Sales Conditions differ on a paid service, the Sales Conditions apply.
2. Accounts
Some parts of the Website, such as the library and the client portal, require an account. When you create or use an account:
- give accurate information and keep it up to date;
- keep your sign-in details confidential and do not share your account with others;
- tell us promptly at info@qointa.com if you suspect unauthorised use of your account.
You are responsible for activity under your account, unless it results from our own failure to protect it. We may suspend or close an account that is used in breach of these Terms. Where reasonable, we will tell you first and give you the opportunity to respond. You may close your account at any time by contacting us.
3. Library and free downloads
Library resources may be offered free of charge, within a free-download allowance, or for purchase. We may change which resources are offered and on what conditions. Free resources are provided without charge and without any commitment to keep them available or to update them. Purchased resources are also governed by the Sales Conditions.
4. Intellectual property
The Website and its content, including texts, papers, reports, assessment questions, scoring models, graphics, logos, designs, images, videos and software, are protected by copyright, database rights, trade mark rights and other intellectual property rights. These rights belong to qointa or to its licensors. qointa's names and logos, including Device360™ and DeviceIQ™, may not be used without our prior written permission. Other product, standard and organisation names belong to their respective owners.
5. Your licence to use the content
Subject to these Terms, qointa grants you a non-exclusive, non-transferable and revocable licence to view the Website and to download, print and keep copies of the resources made available to you, for your own internal professional use within your organisation. You may quote short extracts, provided that you clearly acknowledge qointa as the source and, where practical, link to the Website.
Unless we agree otherwise in writing, you may not:
- sell, republish, distribute or otherwise make resources available to third parties, including by posting them on a public website or in a shared repository;
- remove or alter copyright, trade mark or other notices;
- use the content, scoring models or assessment logic to build a competing product or service;
- extract content in bulk by automated means, or use it to train machine-learning models;
- use qointa's names or logos, including as part of a link to or from the Website.
Nothing in these Terms restricts a use that the law permits without the rights holder's consent.
6. Acceptable use
You must use the Website lawfully and in good faith. In particular, you must not:
- try to gain unauthorised access to the Website, to other users' accounts, to the client portal or to our systems;
- interfere with the Website's operation or security, for example by introducing malware, overloading it, or circumventing rate limits, access controls or the free-download allowance;
- give false information or impersonate another person or organisation;
- submit content that is unlawful or infringes the rights of others;
- enter patient-level data, or other health data about identifiable individuals, into self-assessments or forms.
7. Information you submit
You keep your rights in the information you submit, such as messages, assessment answers and documents uploaded to the client portal. You allow us to use it to provide what you asked for and to operate and protect the Website. We handle personal data as described in our Privacy Policy. Documents shared within an engagement are also covered by the confidentiality terms of that engagement.
8. General information, not advice
The content of the Website is general information for professionals working in clinical development, regulatory affairs and quality. It is not regulatory, legal or professional advice, and nothing on the Website is a determination about a specific device, protocol, indication or jurisdiction. Self-assessment results are a high-level snapshot based on the answers you give; they are not a regulatory classification, conformity assessment, approval or certification.
We make every effort to keep the Website accurate and current. Regulation and guidance change, however, and we do not warrant that every page is complete, accurate or up to date at the moment you read it. Always check the current text of a regulation, standard or guidance document at its source. Our Disclaimer explains this in more detail.
9. Third-party links and services
The Website may link to third-party websites and may use third-party services, for example to process payments or display media. These are outside our control and governed by their own terms. We are not responsible for their content, availability or practices. A link is not an endorsement and does not give you any right to use a third party's names or trade marks.
10. Availability and changes to the Website
We aim to keep the Website available and secure, but we do not guarantee that it will be uninterrupted or error-free. We may change, suspend or withdraw parts of the Website, for example for maintenance, security or changes to our services.
11. Liability
To the extent permitted by Belgian law:
- the Website and its free content are provided without warranties other than those that the law imposes;
- qointa is not liable for indirect or consequential loss, such as loss of profit, revenue, business, opportunity or data, arising from the use of the Website or its free content;
- qointa is not liable for loss arising from reliance on general information published on the Website.
qointa's liability in connection with paid services and purchases is governed by the Sales Conditions.
Nothing in these Terms excludes or limits liability for fraud, for intentional misconduct or gross negligence, for death or personal injury, or any other liability that cannot be excluded or limited by law. Nothing in these Terms affects the mandatory rights you have as a consumer.
If you use the Website in breach of these Terms, you are liable for the resulting damage in accordance with Belgian law.

13. Changes to these Terms
We may update these Terms for legal, regulatory, technical or service reasons. We will publish the updated version on this page with a new revision date. If you have an account, we will inform you of material changes by email or on the Website, with reasonable notice before they take effect. Changes do not apply retroactively, and they do not alter paid services already agreed.
14. General
If any provision of these Terms is invalid or unenforceable, the remaining provisions continue to apply, and the provision concerned is replaced by a valid provision that comes as close as possible to its original purpose. If we do not enforce a right immediately, we have not waived it. These Terms are written in English. Any translation is for convenience only, and the English version prevails.
15. Governing law and courts
These Terms are governed by Belgian law. Any dispute arising from or relating to these Terms or the use of the Website falls under the exclusive jurisdiction of the courts of Antwerp, Mechelen division, Belgium. This is without prejudice to mandatory consumer-protection rules, including your right as a consumer to rely on the mandatory law of your country of residence and to bring proceedings before the courts there.
